The Board of Directors of Rasan Information Technology Company is composed of (9) members appointed by the General Assembly for a three-year term who are entrusted with the tasks of managing the company.
The powers of the company’s Board of Directors, as stipulated in the provisions of its bylaws and taking into account the powers assigned to the General Assembly, include that the Board has the broadest powers in managing the company in a way that achieves its purpose, and the Board has the right to represent the company in its relations with third parties and governmental and private entities. The Board also has the right to contract and sign in the name of the company and on its behalf all types of contracts, instruments and documents. It also has the right, within the limits of its jurisdiction, to authorize one or more of its members or third parties to undertake a specific work or works - in a manner that does not conflict with the relevant laws and regulations.
Majed AlBawardi has been the Chairman of the Board since his appointment in August 2022. With an extensive background in business leadership and project management, he plays a pivotal role in guiding the strategic vision of the company.
Majed is currently also the Chairman of Kafaa Efficiency Excellence and the Managing Director at Wadh Al Naqa Investment Company. His previous roles include Deputy Minister at the Ministry of Commerce and CEO at Thiqah Business Services.
He holds an Executive Certificate in Leadership and Management from MIT and a Master’s degree in Project Management from George Washington University.
Abdulaziz AlOmran brings a wealth of experience in finance and economics to his role as Vice Chairman since August 2022. His leadership is integral to Rasan’s investment strategies and financial decision-making processes.
He is the Chairman of the Investment Committee and has held top positions in various influential companies, including Impact46 and Jahez International Company for Information Systems Technology.
Abdulaziz earned his Executive MBA from London Business School and a Bachelor’s degree in Finance and Economics from King Fahd University of Petroleum and Minerals, Saudi Arabia.
Since 2016, Mohammed AlMuheideb has served as a Director of the company, contributing his expertise in business management and IT. He is a member of the Audit Committee and the Nomination and Remuneration Committee.
He currently holds positions in Waseem Ebel Technology Company and Takamol Business Solutions. Mohammed also has a strong entrepreneurial background with several partnerships, including the Insurance House Company.
He holds a BBA from King Saud University, Saudi Arabia.
Theib AlMutairi has been a Director since 2018 and is a member of the Executive Committee. With a background in sociology and insurance, he brings a unique perspective to Rasan’s operations.
His significant previous professional experience includes a senior role as Deputy CEO at Malath Insurance Company.
Theib is a Certified Insurance Specialist from the Chartered Insurance Institute, UK, and holds a Bachelor’s degree in Sociology from Kuwait University.
Abdulrahman Bin Aiban has been a Director since 2018 and chairs both the Audit Committee and the Nomination and Remuneration Committee. His expertise in human resources and information systems is vital to Rasan’s internal development.
He is a Partner at Atlas Support and Services Company and Chairman of Kabi Technologies for Information Technology. Abdulrahman has also held the position of Undersecretary for Human Resources at the Ministry of Health.
He earned his Master’s degree in Human Resources from Texas A&M University and an MBA from King Saud University.
Ayman AlFallaj has been a Director since 2017 and a member of the Investment Committee since 2022. He is CEO of Thiqah Business Services where he leads the company in providing innovative business and technology solutions.
His previous roles include being the Founding Director at Bayan Credit Bureau and CFO at Thiqah Business Services. Ayman has also held significant positions in the Saudi Basic Industries Corporation (SABIC) and ExxonMobil - Saudi Arabia.
He holds a Master’s degree in Finance from UCD Michael Smurfit Business School and has completed the Global CEO Program at Wharton School of Business, University of Pennsylvania.
Fahad Abuhaimed has been a Director since October 2022 and is a member of the Investment Committee. As Managing Partner at AS&H Clifford Chance, he brings extensive legal expertise to the company.
His previous experience includes serving as Undersecretary for Technical Affairs at the Ministry of Commerce and as a Senior Advisor at Al-Jadaan & Partners Law Firm.
Fahad holds a PhD in Law from the University of Hull, UK, alongside a Master’s degree in International Law and a Bachelor’s degree in Law from King Abdulaziz University, Saudi Arabi.
Basma AlSunaidi has been a Director since her appointment in August 2022. With a focus on financial management and investment, she has a keen insight into Rasan’s strategic financial initiatives.
She currently serves on the company's Nomination and Remuneration Committee and holds directorship roles in several companies, including Syarah, Zid Holding Company, and Impact46, where she is also the Partner and Vice Chairman.
Basma has earned an International Certificate in Wealth Management and Investment from the Chartered Institute of Securities and Investment, UK, and a Bachelor’s degree in Financial Management and Investment from King Saud University, Saudi Arabia.
Moayad AlFallaj has been the Managing Director since July 2023, having previously held the role of CEO since 2021. His expertise in marketing communications and business administration has been crucial in driving the company's growth.
His tenure includes significant roles such as Director of Business Development and Marketing at Insurance House Company (IHC) and Director of Operations within the company.
He holds a Master’s degree in Marketing Communications and a Bachelor’s degree in Marketing from Anglia Ruskin University, UK, along with a Higher Diploma in Business Administration.
Zaki Al Ismail has been serving as the Secretary of the Board of Directors since March 2023 and is the Chief Corporate Affairs and Compliance Officer. His background in computer and information sciences provides a strong foundation for overseeing Rasan’s governance and compliance matters.
Previously, Zaki held the position of COO at SABB Takaful Company and has a wealth of experience in operations and IT support within the insurance sector.
He completed his Bachelor’s degree in Computer and Information Sciences at King Fahd University of Petroleum and Minerals, Saudi Arabia.
Moayad has been leading the company as CEO since his appointment in February 2021. With a strong background in marketing and business administration, he has been instrumental in steering the company's executive direction and managing operations.
Moayad is also a member of Rasan’s Executive Committee. His previous experience includes serving as the Director of Business Development and Marketing at Insurance House Company (IHC) and the Director of Operations within the company.
He holds a Master’s degree in Marketing Communications and a Bachelor’s degree in Marketing from Anglia Ruskin University, UK.
Abdulrahman has served as the CTO since August 2022, bringing in a wealth of experience in digital transformation and technology leadership to the company.
Before joining the company, he held the position of Chief Digital Transformation Officer at Quara Finance and was the Founding CTO at both Forus Debt Crowdfunding Company and Tamam Finance. His earlier career includes roles at Zain and Virgin Mobile.
Abdulrahman earned his Bachelor’s degree in Computer Science and Engineering from Hail University in Saudi Arabia.
Yazeed joined the company in 2024, bringing over 18 years of extensive financial expertise to his role as CFO, where he has consistently driven companies toward stronger financial positions across diverse industries.
Previously, Yazeed served as CFO at Tiqmo, a Saudi-based fintech startup. Prior to that, as Group Finance Director at Abunayyan Holding Company, he oversaw the financial activities of 16 subsidiaries.
In addition to his current role, Yazeed is member of the Audit Committee & NRC Committee for Sadr Logistics, a publicly listed company, and serves on the Board of Directors/Committee Members for multiple companies. He is a Public Accountant & Professional Business Valuer holding the CPA and SOCPA certifications, as well as Taqeem business valuation and The American Society of Appraisers (ASA) and CME1. Yazeed earned his Master’s in Accountancy and an MBA from Southern Utah University, USA.
Zaki has been the Chief Corporate Affairs and Compliance Officer since April 2022, overseeing corporate governance and compliance matters. He also serves as the Secretary of the company's Board of Directors.
His experience includes serving as the Director of the Projects Department at the company and various executive roles at SABB Takaful Company, where he was COO and Deputy COO.
He holds a Bachelor’s degree in Computer and Information Sciences from King Fahd University of Petroleum and Minerals (KFUPM), Saudi Arabia.

His previous positions include Chief Underwriting Officer at Al Rajhi Cooperative Insurance Company and underwriting director roles at Zurich Middle East and Africa Company and Zurich Spain.
Miguel has completed a Management Development Program at ISE Business School, Spain, and holds a Certificate in Economics and Actuarial Science from the University of Barcelona, Spain.
Nicola took on the role of Chief Strategy and Product Officer in August 2023, bringing a strong strategic and product development perspective to the company.
His prior experience includes CEO of Bima Insurance, General Manager and Director at ENOC Link, and leadership roles at BCG Digital Ventures and Boston Consulting Group. He has also held chairmanship and director positions in various venture capital and communications companies.
Nicola holds a PhD in Management, Economics and Industrial Engineering from the Polytechnic University of Milan, Italy, a Master's degree in Financial Engineering from the Polytechnic University of Turin, Italy, and a Bachelor’s degree in Telecommunication Engineering from the same university.
Rajaa holds the position of Chief Investment Officer and joined the company in August 2022. She is well-versed in international financial reporting standards and executive leadership, contributing to the company's financial strategy and operations.
Her prior roles include CFO positions at Citiscape and Green Glory Company and senior financial roles at Al Rifai International Holding and KIPCO Asset Management Company. She has also gained valuable experience at Ernst & Young and BankMed.
Rajaa completed a FinTech Certificate at Harvard University and Executive Leadership Program at Saïd Business School, University of Oxford, and holds an MBA from Lebanese American University
Joy has been the Chief Operations Officer since June 2021, overseeing the company's operational activities. His experience in digital strategy and operations management within the insurance sector has been a valuable asset to the company.
He has held senior positions at Insurance House Company, Alinma Tokio Marine Company, and other prominent organizations in technology and consultancy.
Joy earned an MBA from the Indian Institute of Management and a Bachelor’s degree in Science from the University of Calcutta, India.
Sophie became the Chief Support Services Officer in September 2023, bringing her expertise in human resources and support services to the company.
Her previous experience includes Director of Human Resources roles at National Shipping Company of Saudi Arabia (Bahri), CH2M HILL and Mace, and DP World. She has also served as Human Resources Manager at Seadrill Limited and held a regional director position at Degrémont.
She holds a Master’s degree in Law from the University of Antwerp, Belgium
Abdulrahman has been leading the internal audit department as the Director since April 2023. His role involves assessing the effectiveness of risk management, control, and governance processes within the company.
His previous professional experience includes Director of Internal Audit roles at Memar Development and Investment Company and Samnan Holding Company. He also worked as an internal auditor at KPMG Professional Services.
Abdulrahman holds a Bachelor’s degree in Accounting from La Trobe University, Australia.
The committee is formed from 3 to 5 members of the board of directors and the board of directors determines its terms of reference and powers, turns into the committee on delegated powers, subordinate to the delegated corrections, its planning committee, the board of directors, feeding the official reviews of the board of directors.
The committee consists of 3 to 5 members from the board and outside, and this committee plays a fundamental and important role in assisting the board of directors to fulfill its supervisory duties with regard to the integrity of the company’s financial statements and the proposal to appoint the company’s auditors, follow-up and evaluation of the performance of disclosure controls and procedures, and evaluation of the effectiveness of internal audit and auditors External auditors and ensuring the adequacy of the company’s internal accounting systems and financial controls, and its compliance with ethical policies and legal and regulatory requirements, in addition to risk management, compliance and control activities.
The committee consists of 3 to 5 members of the Board of Directors and outside, and its tasks and competencies focus on recommending to the Board of Directors nomination for membership of the Board in accordance with the approved policies and standards, and periodically reviewing the required needs of the appropriate skills for membership of the Board of Directors and its subcommittees, reviewing the structure of the Board of Directors and making recommendations regarding changes that can be carried out, ensuring on an annual basis the independence of the independent members, linking the recommendation for appointment to the appropriate skills, capabilities and qualifications required, and setting and reviewing remuneration and compensation policies for members of the Board of Directors and senior executives.
The committee consists of 3 to 5 members from the board of directors and outside, and it is concerned with assisting the board of directors in recommending to the board all matters related to investment, including asset allocation plans, the selection and development of investments in accordance with the rules and controls.
